Shiprocket, the nation's leading e-commerce enablement provider focusing on micro, small, and medium enterprises (MSMEs), is set to launch its Initial Public Offering (IPO). The listing aims to raise substantial capital through fresh equity and an Offer For Sale (OFS), targeting investors with a high risk appetite who are focused on long-term potential.

The company is structured to fund significant technology infrastructure expansion, settle existing debts, and bolster marketing initiatives across the market.

IPO Structure and Shareholding Dynamics​

Shiprocket plans to raise ₹885 crore through fresh equity while also securing an additional ₹732 crore via the OFS. The current largest shareholder is Bertelsmann Nederland BV, holding a 21.3% stake prior to the IPO.

The founders who remain actively involved in operations, Saahil Goel and Gautam Kapoor, will see their stakes reduced from 6.2% each to 4.6% post-listing, after accounting for ESOPs. The company has not identified any promoters at this time.

Decoding Shiprocket's Operational Growth Engine​

Incorporated in 2011, Shiprocket delivers a comprehensive suite of domestic and cross-border shipping services, marketing solutions, and merchant services. Its technology platform simplifies complex logistics, payments, checkouts, and fulfilment for merchants operating both online and offline.

The business is divided into two key areas: the established core business and rapidly expanding emerging operations. The Core business encompasses its established shipping platform and related apps.

The Emerging business segment includes advanced tools and platforms designed to facilitate heavy cargo movement, cross-border shipments, marketing advertising, and various other solutions.

Financial Performance Highlights Across Business Lines​

Shiprocket's overall revenue has demonstrated a healthy growth trajectory, expanding by 24% annually to reach ₹2,024 crore between FY24 and FY26. The core business component of the company saw a stable annual revenue growth rate of 17%.

The emerging operations segment is experiencing hyper-growth, with its share in merchant addition improving significantly from 6.2% in FY24 to 21% by FY26. Correspondingly, its contribution to total revenue rose from 17.6% to 26.6% over the same period.

Profitability and Valuation Challenges Ahead of IPO​

While the core business unit has shown operational strength, achieving an operating profit increase of 60% annually reaching ₹186.6 crore in that timeframe, the company reported a net loss of ₹79.2 crore in FY26. The emerging business segment is noted as being in a phase of rapid expansion and has yet to report a profit.

Despite the current losses, there was an improvement seen in total operating cash flow (OCF), which rose to ₹52.6 crore in FY26 from a cash outflow of ₹216 crore recorded in FY24.

In terms of valuation, given its loss-making operations, price-sales (P/S) multiple is considered the more appropriate metric for assessment. The company has set an IPO demand for a P/S multiple of 3.5 based on its FY26 figures and implied market capitalization. This stands in contrast to Unicommerce Esolutions, a peer that trades at a P/S multiple of 4.7.
