SEPC Limited Acquires UAE Petroleum Trading Business via 100% Acquisition of Wintality Petroleum FZE​

SEPC Limited, a leading EPC company specializing in industrial infrastructure and process plants, has approved a strategic move to enter the UAE petroleum trading business. The company acquired Wintality Petroleum FZE, a UAE entity involved in the import, export, and global trading of refined petroleum products.

The acquisition was structured to be entirely non-cash, executed through a restructuring of the equity and capitalization reserves of SEPC FZE, Sharjah, the company's wholly owned UAE subsidiary.

Transaction Structure Details​

The transaction involves several structural changes to SEPC FZE. The existing share capital of SEPC FZE, initially comprising one share of AED 150,000, will be subdivided into 1,500 shares of AED 100 each.

A further 38,500 shares of AED 100 each will be issued from the capitalization of reserves, creating a total equity pool of 40,000 shares.

Only 1,700 shares, representing 4.25% of the enlarged pool, were earmarked as non-cash consideration for the share swap involving Wintality Petroleum FZE. The remaining 38,300 shares will be issued to SEPC Limited as fully paid-up shares via the capitalization of reserves.

Following the completion of this structure, SEPC Limited will retain a 95.75% holding in SEPC FZE, Sharjah. Upon completion, Wintality Petroleum FZE will become a step-down subsidiary of SEPC Limited.

Mr. Venkataramani Jaiganesh, Managing Director of SEPC Limited, commented on the development, stating: "This structure allows us to build scale in the UAE using value already created within our own subsidiary. We acquire a full operating platform in refined petroleum trading, retain 95.75% ownership of our Sharjah arm, and do so without any cash outflow from the parent company. It is a capital-efficient step towards broadening SEPC's international footprint beyond project execution."

Corporate Governance and Appointments​

The Board also approved the appointment of Ms. K B K Vasuki, a former Judge of the Madras High Court, as Additional Director (Non-Executive, Independent), subject to shareholder approval.

Dr. Ravichandran Rajagopalan has been nominated to the Board of the wholly owned subsidiary. The Managing Director is authorized to execute the Share Purchase Agreement and obtain necessary approvals.
