Corporate Governance and Operational Updates​

The Board of Directors confirmed that the unaudited financial results were reviewed by the Audit Committee and approved by the directors at their meeting held on July 24, 2026.

Scheme of Arrangement:
The Company previously approved a scheme of arrangement between Sapphire Foods India Limited (the Transferor Company) and Devyani International Limited (the Transferee Company). The Board had considered and approved this scheme at its meeting on January 01, 2026. Under the scheme, it was determined that upon amalgamation, the Transferee Company would issue and allot 177 equity shares of Rs. 1/- each fully paid up for every 100 equity shares of Rs. 2/- each fully paid up held by shareholders of the Transferor Company.

Registered Office Shift:
The Board had also approved the shifting of the Registered Office from the State of Maharashtra to the State of Haryana in January 2026. The proposed shift was formally approved by the Regional Director (Western Region Directorate I) on April 21, 2026. Subsequently, the Registrar of Companies, Haryana (ROC Haryana), registered and recorded the new Registered Office address as "SCO 328, Sector - 9, Panchkula -134109, Haryana" vide a Certificate of Registration dated May 18, 2026.

The Group continues to operate in the restaurant business and maintains one reportable operating segment as per Ind AS 108.
