Pledge Created Over Nexus Select Trust Units for Credit Facility
A pledge has been established over units of the listed Real Estate Investment Trust, Nexus Select Trust, following an agreement intended to secure a credit facility availed by NXST ML (NQ) Limited. The pledge was created on June 3, 2026, involving four Sponsor Group entities of the Trust.The Pledgors, which include BREP Asia SG Forum Holding (NQ) Pte. Ltd., Wynford Investments Limited, SSIII Indian Investments One Ltd., and BRE Coimbatore Retail Holdings Ltd, pledged their units in favor of Deutsche Bank AG, acting as the Onshore Security Agent on behalf of Lenders. This pledge is set against a credit facility utilized by NXST ML (NQ) Limited from the Lender.
The facility was established under a Facility Agreement dated June 13, 2023, and subsequently amended in September 2025. The pledged units represent a portion of the Sponsor Group’s total holding in Nexus Select Trust.
Encumbrance Details
The pledge agreement specifies that the encumbered units will be held under this security arrangement until September 23, 2028, subject to the terms of the Facility Agreement. The purpose for which the borrowed amounts were utilized was stated as genuine business purposes of the Pledgors outside India. Furthermore, the facility did not result in any capital inflow into India.The total number of units pledged across the four entities is 228,005,666, equating to 15.05% of the total outstanding units of Nexus Select Trust as of June 3, 2026. All units held by the Pledgors were encumbered in this transaction.
