NCLT Sanctions Amalgamation of La Reliant Aluminium into Aesthetik Engineers Limited​

The National Company Law Tribunal (NCLT), Kolkata Bench, has sanctioned a Scheme of Amalgamation involving La Reliant Aluminium Limited and Aesthetik Engineers Limited. The merger involves the absorption of La Reliant by Aesthetik, with the appointed date set as April 1, 2025.

The sanctioning order was pronounced by the NCLT on July 22, 2026. Under the approved Scheme of Amalgamation, all properties, rights, and powers of La Reliant Aluminium Limited (the Transferor Company) shall be transferred to Aesthetik Engineers Limited (the Transferee Company). Correspondingly, all debts, liabilities, duties, and obligations of the Transferor Company will also be assumed by the Transferee Company.

The merger involves two companies operating in related industrial segments. La Reliant Aluminium Limited is engaged in manufacturing aluminum extruded profiles, which includes in-house facilities for anodizing and powder coating. Aesthetik Engineers Limited focuses on providing Aluminium Door & Windows solutions, along with glass and glazing and façade products. The amalgamation aims to integrate these businesses, enhancing financial strength and operational capability for the combined entity.

Key elements of the scheme include:
  • Transfer: All assets and liabilities of La Reliant will transfer to Aesthetik from the appointed date.
  • Creditor Status: Creditors of both companies have been addressed, with meetings being dispensed with based on consents given by affidavits. The Scheme does not involve any reduction or variation of existing liabilities owed to creditors.
  • Shareholding: The shareholders of La Reliant will receive shares in Aesthetik as determined under the scheme terms.

The merger followed several key corporate milestones, including approvals from both companies' boards, which passed resolutions approving the Scheme on May 30, 2025. Prior to this, the Transferee Company had obtained a 'No objection' letter from the National Stock Exchange of India (NSE) dated January 22, 2026.

Both the shareholders meetings for Aesthetik Engineers Limited and La Reliant Aluminium Limited were held on May 15, 2026. The respective Equity Shareholders in both companies approved the Scheme unanimously. Following these meetings, directors of La Reliant filed their reports and affidavits on May 20, 2026.

The Scheme shall become effective from the date when the certified copy of the NCLT order is filed by the Transferor Company and the Transferee Company with the Registrar of Companies in Kolkata. The companies stated they will continue to make necessary disclosures regarding any material developments related to the amalgamation.

AESTHETIK Stock Price Movement​

Aesthetik Engineers Limited shares today slipped by 2.37% to settle at ₹70.05 in post-market trading. The stock recorded a traded volume of 5,000 shares for the session.
