Octaware Technologies Board Approves Shift in Shareholder Approval Method for Registered Office Change​

The Board of Directors of Octaware Technologies Ltd has resolved to change the method by which shareholders will approve the shift of the company's registered office, moving it from a mandated postal ballot to approval during the forthcoming Annual General Meeting (AGM).

During a meeting held on Thursday, July 23, 2026, the Board considered and approved this decision. This move comes in reference to a previous board resolution dated July 15, 2026, which had sanctioned the relocation of the company's registered office from the State of Maharashtra to the State of Uttar Pradesh. That earlier resolution stipulated that the shift was contingent upon obtaining shareholder approval via postal ballot.

The Board subsequently re-considered and decided to seek approval under Section 13(4) of the Companies Act, 2013, by presenting the matter for shareholder approval at the ensuing Annual General Meeting instead of conducting a postal ballot.

Octaware Technologies stated that this strategic change was made in the interest of the company to achieve cost optimization and to facilitate better and more effective participation from shareholders. The communication noted that no notice for the associated postal ballot had been issued, nor had any steps been taken towards its conduction up to the date of the board meeting.

The Board meeting commenced at 04:30 P.M. and concluded at 05:00 P.M.

Stock Price Movement​

Octaware Technologies Ltd settled at ₹63.60 on Tuesday, registering no change as the market closed. The stock traded completely flat throughout the session, maintaining that price point from open through to the close.
