NCLT Orders GE Power, JSW Energy to Convene Meetings for Scheme of Arrangement​

The National Company Law Tribunal (NCLT), Mumbai Bench, has directed GE Power India Limited to hold meetings of its Equity Shareholders and Unsecured Creditors concerning the proposed Scheme of Arrangement involving the company and JSW Energy Limited.

The order was issued by the Hon'ble Tribunal on June 2, 2026. The directive mandates that GE Power India Limited must convene these meetings through video conferencing or other audio-visual means within 70 days from the date the order was received online, which is noted as June 3, 2026.

The purpose of these meetings is to consider and, if deemed suitable, approve the proposed Scheme.

GE Power India Limited issued this statement in reference to previous letters dated September 18, 2025, and April 2, 2026. These documents relate to the Scheme of Arrangement between GE Power India Limited (identified as the Demerged Company) and JSW Energy Limited (the Resulting Company).

The scheme was filed under Sections 230 to 232, along with other applicable provisions of the Companies Act, 2013. The order from the Tribunal mandates the next steps required for shareholder and creditor consideration.
