Mercantile Ventures Completes Scheme of Amalgamation with India Radiators Limited; Authorized Capital Increased
The amalgamation of India Radiators Limited and Mercantile Ventures Limited has become effective, following the filing of necessary documentation and subsequent amendments to the memorandum of association for Mercantile Ventures Limited. The scheme was sanctioned by the National Company Law Tribunal, Division Bench (Court- I) Chennai on July 08, 2026.The Effective Date of the amalgamation is July 23, 2026, after the Transferee Company completed the requisite filings with the Registrar of Companies, Chennai. This strategic move has resulted in a material increase in the authorized share capital of Mercantile Ventures Limited.
Under the terms of the Scheme, the Authorized Share Capital (ASC) of Mercantile Ventures Ltd increased from Rs. 13,009 Lakhs to Rs 15.109 Lakhs. The changes pertain to both equity and preference shares, with all shares issued at Rs 10/- each.

In addition to the capital structure revision, Clause V of the Memorandum of Association of Mercantile Ventures Limited has been altered and modified. The company now holds authorized share capital amounting to Rs 151,09,00,000/- (Rupees One Hundred and Fifty One Crores Nine Lakhs Only), comprising two classes of shares: 11,60,90,000 Equity shares at Rs 10/- each and 3,50,00,000 Preference Shares at Rs 10/- each.
Upon the effectiveness of the Scheme on July 23, 2026, India Radiators Limited, the Transferor Company, shall be dissolved without winding up. Furthermore, the Board of Directors and any committees thereof of the Transferor Company stand dissolved as a direct consequence of the amalgamation.
