The company recently signed a Share Subscription Agreement (SSA) with SAI regarding Class A Equity Shares of MSAL.
Upon the allotment of these new shares by MSAL to SAI, both MASL and SAI will maintain equal voting rights within MSAL. The resulting shareholding percentages are set at 58.8% for MASL and 41.2% for SAI, inclusive of Class A Equity Shares.
The restructuring was formalized through a First Amendment Agreement to the original Shareholders' Agreement dated October 12, 2018, involving MSAL, MASL, and SAI. This agreement ensures that both MASL and SAI have equal representation on the Board of Directors of MSAL.
The change in corporate structure dictates that MSAL will cease to be a subsidiary of MASL, thereby concluding its status as a step-down subsidiary of Mahindra & Mahindra Ltd. Instead, it continues as a joint venture between MASL and SAI.
