The scheme concerns a proposed arrangement among Lloyds Realty Developers Limited (LRDL), Indrajit Properties Private Limited (IPPL), Lloyds Enterprises Limited (LEL), and Lloyds Realty Limited (LRL), governed by sections 230 to 232 read with section 66 of the Companies Act, 2013.
This update follows the Company's prior Board of Directors approval for the Scheme, which was communicated via a letter dated December 22, 2025.
The observation letters from both BSE Limited and NSE conveyed that the draft scheme of arrangement was cleared by the exchanges. The Scheme, however, remains subject to the receipt of all necessary statutory and regulatory approvals, including those from the respective shareholders and creditors of the involved companies, as well as the jurisdictional National Company Law Tribunal.
The Company issued the formal intimation of these clearances on May 16, 2026.
