Strategic Updates and Corporate Actions​

The results reflect the ongoing strategic activities of the company, including an amalgamation and a capital raising initiative.

During the quarter, the Scheme of Amalgamation involving Lancor Maintenance and Services Limited (LMSL), a wholly owned subsidiary, received approval from the National Company Law Tribunal (NCLT), Chennai. The amalgamation was accounted for under the 'pooling of interest method' as prescribed in Ind AS 103 "Business Combination."

Regarding capital structure, the company issued 33,33,330 warrants of Rs. 30.00 per warrant on April 26, 2025, following shareholder approval at an Extraordinary General Meeting. These warrants are convertible into fully paid up equity shares in a 1:1 ratio within 18 months from the allotment date. Warrant holders have contributed 25% of the fixed warrant issue price, with the remaining 75% due upon exercising their rights.

The results were reviewed by the Audit Committee and approved by the Board of Directors at meetings held on August 12, 2026.
