A consortium led by Inox Neo Energies Limited and Authum Investment & Infrastructure Limited has secured approval for a resolution plan concerning the acquisition of the Operation and Maintenance (O&M) business undertaking of Wind World (India) Limited (WWIL). The approved plan, which incorporates an addendum dated May 20, 2026, confirms the successful bidder's ability to take over the assets critical for the revival of the company.

The approval follows a long-running Corporate Insolvency Resolution Process (CIRP) initiated under Section 7 of the Insolvency and Bankruptcy Code, 2016. The Committee of Creditors (CoC) had approved the resolution plan on February 19, 2026, with a voting share of 96.47%.

Key Aspects of the Acquisition​

The acquiring consortium, comprising Inox Neo Energies Limited (INEL) and Authum Investment & Infrastructure Limited, will acquire WWIL's O&M business through a slump sale or another structure permissible under the Resolution Plan. This undertaking focuses on wind turbine portfolio maintenance across various states in India.

The acquired O&M portfolio comprises approximately 4.5 GW of operations, spanning regions including Karnataka, Maharashtra, Tamil Nadu, Rajasthan, Gujarat, Madhya Pradesh, and Andhra Pradesh. The successful acquisition is expected to significantly augment the acquiring company's existing O&M portfolio.

Financial Terms and Obligations​

The Resolution Plan outlines a defined payment structure for stakeholders, ensuring compliance with statutory requirements for the CIRP.

The financial terms of the plan include:
  • Consideration: A lump sum consideration of up to Rs 550 Crore is slated to be paid upon completion of the acquisition, subject to agreed adjustments in definitive agreements.
  • Total Outlay: The overall resolution outlay proposed under the plan is approximately Rs 2,775 Crores.

The plan also addresses the financial capability of the acquiring consortium (SRA), which includes commitments and funding aggregated up to Rs 3100 Crores from global and domestic investors.

Operational Structure and Litigation Management​

The Resolution Plan stipulates key mechanisms for the future management of WWIL, including:

  • Governance: The establishment of an Implementation and Monitoring Committee (IMC) consisting of representatives from the CoC, the SRA, and the Resolution Professional.
  • Technological Risk: The plan addresses the ongoing litigation involving Enercon GmbH. It clarifies that the acquiring entity will continue to use the intellectual property and technology associated with WWIL, subject to the outcome of pending legal proceedings before the Hon'ble Supreme Court in Special Leave Petition (Civil) No. 18147 of 2019.

The Adjudicating Authority has confirmed that the Resolution Plan meets all necessary requirements concerning insolvency resolution process costs and the payment of operational and financial creditors, providing a framework deemed feasible and viable for the revival of WWIL as a going concern.
