Kirloskar Ferrous Industries Completes AGM; Confirms Dividends and Ratifies Up to ₹1,000 Crore Borrowing Authority​

The 35th Annual General Meeting (AGM) of Kirloskar Ferrous Industries Limited concluded on Wednesday, August 5, 2026. The meeting, held via Video Conferencing or Other Audio Visual Means facility, saw the members of the company transact several crucial ordinary and special business items regarding financial performance and future corporate strategy.

Corporate Financial Approvals​

During the AGM, Ordinary Resolutions were adopted concerning the audited financial statements, including Consolidated Financial Statements for the financial year ended March 31, 2026. The meeting also confirmed the payment of Interim Dividend on equity shares and declared the Final Dividend for the same fiscal period.

In another key ordinary resolution, Mr. Nishikant Balakrishna Ektare, who retires by rotation, offered himself for reappointment and was reappointed to continue as Executive Director (Operations).

Board Authority and Strategic Appointments​

The Special Business agenda included several resolutions that grant strategic authority to the company's management. A major resolution granted the Board of Directors authority to borrow or raise funds not exceeding ₹1,000 Crores. This fundraising is intended through the issuance of non-convertible Debentures in one or more tranches on a private placement basis.

Further executive appointments and ratifications were completed at the AGM. M/s. Dhananjay V. Joshi & Associates, Cost Accountants, received ratification for their role as the Cost Auditor. Two new Independent Directors were appointed through special resolutions: Mr. Sathya Moorthy Venkataramani was appointed to hold office until October 21, 2031, and Mrs. Pallavi Pratap Gokhale was appointed with a term extending up to June 11, 2031.

The AGM concluded at 5:25 p.m. on August 5, 2026. The company noted that the Scrutinizer's Report and voting results will be submitted separately.

Kirloskar Industries Limited shares shed value today by 3.94% to settle at ₹3803.8, closing lower against the previous close. The stock traded on a volume of 15,704 shares during the session.
