Indo Thai Securities Ltd has reported its unaudited standalone and consolidated financial results for the first quarter ending June 30, 2026. The company’s Board of Directors also approved the issuance of Secured, Redeemable, Unlisted, Unrated, Non-Convertible Debentures (NCDs) aggregating up to Rs 100 Crore on a private placement basis.

The results were reviewed by the Audit Committee and subsequently approved by the Board at its meeting held on July 20, 2026. The company also appointed M/s Vinod Singhal & Co. LLP as its Statutory Auditor for five years, replacing M/s SPARK & Associates.

Corporate Governance and Financing Decisions​

NCD Issuance and Committee Formation
The Board approved the issuance of Secured, Redeemable, Unlisted, Unrated, Non-Convertible Debentures (NCDs) in one or more tranches on a private placement basis, amounting up to Rs 100 Crore. This proposed issue remains within the overall borrowing limits previously established by Members in July 2025.

To manage this debt issuance process, the Board of Directors constituted a Debenture Issuance, Allotment and Redemption Committee. The committee members are Parasmal Doshi (Chairperson cum Whole Time Director), Dhanpal Doshi (Managing Director), and Amber Chaurasia (Independent Director).

Memorandum Alteration and Expansion Plans
The Board also approved the addition of Clause 4 to the Main Object Clause of the company’s Memorandum of Association. This alteration is intended to support the company's expansion plans, specifically by allowing Indo Thai Securities Ltd to engage in business related to Alternative Investment Funds (AIFs), Venture Capital Funds, Private Equity Funds, Angel Funds, Hedge Funds, Infrastructure Funds, and other pooled investment vehicles. The alteration requires subsequent approval from shareholders at the Annual General Meeting.

The Board approved the re-appointment of three directors for a term of three consecutive years, effective September 20, 2026:

Auditor and AGM Details​

Statutory Audit Appointment
M/s Vinod Singhal & Co. LLP was approved for the appointment as the Statutory Auditor of the Company. The firm, which is registered with the Institute of Chartered Accountants of India (ICAI), will serve a term of five years, commencing from the conclusion of the 32nd Annual General Meeting until the conclusion of the 37th Annual General Meeting.

Annual General Meeting Schedule
The Board of Directors scheduled the company's 32nd Annual General Meeting (AGM) for Saturday, September 19, 2026. The meeting will be held through Video Conferencing ('VC') or Other Audio Visual Means ('OAVM') at the registered office in Indore, starting at 12:30 P.M.

The company also appointed M/S Kaushal Ameta & Company as Scrutinizer for the AGM. The remote E-voting period is set to run from Wednesday, September 16, 2026, to Friday, September 18, 2026, with Central Depository Services Limited (CDSL) serving as the Remote E-Voting Services Provider.

The company has four subsidiaries: Indo Thai Realties Limited, Indo Thai Globe Fin (IFSC) Limited, Indo Thai Financial Services Limited, and Femto Green Hydrogen Limited. Indo Thai Securities Ltd holds 56.86% of shares in Femto Green Hydrogen Limited, while the other three entities are wholly-owned by the holding company.
