IGI India Completes 100% Acquisition of AGL Holdco; American Gemological Laboratories Becomes Step-Down Subsidiary

Mumbai, February 15, 2026: International Gemmological Institute (India) Limited (BSE: 544311 | NSE: IGIL) has completed the acquisition of 100 percent shareholding in AGL Holdco Inc through its step-down wholly owned subsidiary, International Gemological Institute Inc, strengthening its global certification footprint.
The company informed exchanges that IGI USA has completed the acquisition of AGL Holdco Inc from Christopher P Smith and Helene Smith. The transaction also results in the indirect acquisition of American Gemological Laboratories LLC.
The completion follows the earlier board-approved structure involving fund infusion into International Gemmological Institute BV, IGI India’s wholly owned subsidiary, which in turn invested in IGI USA to facilitate the acquisition.

  • AGL Holdco Inc has become a wholly owned subsidiary of IGI USA and a step-down wholly owned subsidiary of IGI Belgium and IGI India.
  • American Gemological Laboratories LLC, a wholly owned subsidiary of AGL Holdco, has become a step-down wholly owned subsidiary of IGI USA, IGI Belgium and IGI India.
The company confirmed that it was informed on February 14, 2026 regarding the completion of the transaction.
