HEG Limited, part of the LNJ Bhilwara Group, has announced its unaudited standalone and consolidated financial results for the first quarter of financial year 2026-27 (Q1 FY27), which ended on June 30, 2026. The company reported a consolidated profit after tax from continuing operations that increased 22.6 percent year-on-year to INR 122.34 crore.

The results reflect the performance of HEG Limited and its wholly owned subsidiaries TACC Limited, HEG Graphite Limited, and Bhilwara Infotechnology Limited, along with a share of profit from associate Bhilwara Energy Limited.

Financial Highlights for Q1 FY27 (Consolidated)​

Revenue from continuing operations stood at INR 680.79 crore in Q1FY27, marking an increase of 11.1 percent year-on-year. Consolidated profit before tax, including the company's INR 30.50 crore share of profit from associates, rose 36.1 percent to INR 165.08 crore for the quarter.

Consolidated basic earnings per share (EPS) from continuing operations reached INR 6.34 in June 2026, up from INR 5.17 a year earlier.

Segment Performance and Financial Position​

The graphite electrode segment remains the primary growth driver for the company. Standalone graphite segment revenue reached INR 677.77 crore for Q1 FY27, an increase of 11.3 percent. The segment results more than doubled to INR 149.64 crore in the June 2026 quarter.

The power segment, which involves the company's hydro power plant at Tawa Nagar, contributed segment revenue of INR 3.14 crore for the quarter. This segment is noted as being seasonal, with generation described as intermittent in the first quarter, expected to ramp up during the monsoon season (second quarter), and taper in the fourth quarter.

As of June 30, 2026, standalone total assets stood at INR 5,784.28 crore, against total liabilities of INR 1,371.62 crore. On a consolidated basis, total assets were INR 6,333.97 crore, and total liabilities were INR 1,453.78 crore.

Ravi Jhunjhunwala, Chairman, Managing Director & CEO of HEG Limited, stated that the results reflect continuous focus on operational excellence and cost optimization. He noted that despite volatility in the global steel industry, the company is encouraged by the improving demand environment for graphite electrodes and remains committed to creating long-term value through prudent capital allocation.

Update on Composite Scheme of Arrangement​

The Board also provided an update regarding the previously approved Composite Scheme of Arrangement involving HEG Limited, HEG Graphite Limited (the Resulting Company), and Bhilwara Energy Limited (the Transferor Company).

Under this Scheme:
1. The Demerged Undertaking, specifically the company's graphite business, is to be demerged from HEG Limited into HEG Graphite Limited on a going-concern basis. This process involves HEG Graphite Limited issuing equity shares to HEG Limited's shareholders in consideration.
2. Bhilwara Energy Limited is set to be amalgamated with HEG Limited through the issuance of equity shares by HEG Limited to Bhilwara Energy Limited's shareholders (other than HEG Limited itself).

The Appointed Date for this Scheme was April 1, 2024.

After obtaining approvals from both companies and necessary no-objection letters from BSE Limited and the National Stock Exchange of India in January 2026, the Scheme was filed with the Hon'ble National Company Law Tribunal (NCLT), Indore Bench, on January 24, 2026. Following a NCLT order dated March 26, 2026, meetings for the equity shareholders and secured and unsecured creditors of both HEG Limited and Bhilwara Energy Limited were held on May 5, 2026, where the Scheme was approved. The NCLT reserved its order in the matter following a hearing held on July 2, 2026.

Pending the receipt of the final order and other statutory approvals, no adjustments related to this Scheme have been made to the unaudited financial results for the quarter ended June 30, 2026.

HEG Stock Price Movement​

HEG Limited shares climbed, closing at ₹643.15 today after recording a solid gain of 2.12%. The stock saw significant activity in the session, with over 7.74 million shares traded during the day.
