Hindustan Construction Company Ltd (HCC) is preparing for its 100th Annual General Meeting (AGM), scheduled for Tuesday, August 18, 2026. This remuneration, which is one of the total annual compensation payable to all Non-Executive Directors, comes along with entitlement to a Chairman's Office and reimbursement of related expenses.

Furthermore, the AGM seeks ratification for the Cost Auditors of the company for the financial year ended March 31, 2026. M/s. Joshi Apte & Associates have been recommended for this role, with remuneration set at ₹2,85,000/- (Rupees Two Lakhs Eighty-Five Thousand Only), plus applicable taxes and expense reimbursement.

Capital Structure Expansion and Fundraising Authorization​

A primary business item at the AGM is the proposed increase in the Authorized Share Capital of HCC to support future corporate requirements and funding initiatives.

The company’s authorized share capital is proposed to be increased from ₹300,00,00,000 (Rupees Three Hundred Crore Only) to ₹400,00,00,000 (Rupees Four Hundred Crore Only). This expansion involves changes to the mix of equity and preference shares:

The maximum aggregate amount authorized for this fund raising is ₹800 Crore (Rupees Eight Hundred Crore Only).
