
Havells India Announces Financial Results and Key Board Changes at Annual Meeting
Havells India Limited announced the audited standalone and consolidated financial results for the fourth quarter and financial year ended March 31, 2026, following the outcomes of its Board of Directors meeting held on April 22, 2026. The Board also made recommendations regarding the declaration of a final dividend and key appointments to the Board.The Board of Directors recommended a Final Dividend of Rs. 6/- per equity share, representing 600% for the financial year 2025-26. This final dividend is in addition to the Interim Dividend, which was previously declared for the same financial year at Rs. 4/- per share. The Final Dividend is subject to shareholder approval at the forthcoming Annual General Meeting (AGM) and would be payable/dispatched on or before 30 days from the date of the AGM.
Board Appointments and Director Changes
The Board meeting also addressed several appointments and changes in the Board composition.The Board recommended the following re-appointments and appointments:
- Statutory Auditors: M/s Price Waterhouse & Co Chartered Accountants LLP was re-appointed as the Statutory Auditors for a second term of five consecutive years.
- Independent Director Appointment: Shri Varun Berry was appointed as an Independent Director for a first term of five years, effective April 22, 2026. Shri Berry retired as Vice Chairman & Managing Director&CEO of Britannia Industries Limited in November 2025 and brings 40 years of experience, having worked with companies like HUL and PepsiCo in India and overseas.
- Independent Director Re-appointment: Smt Namrata Kaul was re-appointed as an Independent Director for a second term of 5 years from the date of the ensuing AGM 2026. She is a career banker with over 30 years of experience, notably having served as Managing Director at Deutsche Bank AG.
- Independent Director Re-appointment: Shri Ashish Bharatram was re-appointed as an Independent Director for a second term of 5 years from the date of the ensuing AGM 2026. Shri Bharatram has extensive experience, having led SRF Group into a global conglomerate with operations across five countries.
- Non-Independent Director Re-appointments: The Board re-appointed Shri Puneet Bhatia and Shri TV Mohandas Pai, both liable to retire by rotation, for another term of 5 years from the date of the ensuing AGM 2026. Shri Puneet Bhatia is the Managing Director and Country Head of India for TPG Asia.
Director Resignation
The Board also noted the resignation of Shri Vivek Mehra as an Independent Director, effective April 22, 2026.
