Godrej Properties Completes Amalgamation of Embellish Houses Private Limited​

Godrej Properties Limited (GPL) has completed the Scheme of Amalgamation involving itself and Embellish Houses Private Limited (EHPL). The merger, which involved consolidating two real estate entities, became effective on August 10, 2026.

The amalgamation involves the transfer of EHPL, a wholly owned subsidiary, into GPL. The primary rationale behind the Scheme is the consolidation of the real estate business. This integration is expected to result in operational efficiency and the streamlining of the group structure by reducing the number of legal entities and minimizing regulatory compliance complexities. Benefits derived from the merger include pooling technical resources and expertise, cost reduction, administrative convenience, and rationalizing costs through the elimination of multiple record keeping functions.

Financial Structure and Consideration​

The Scheme involves GPL acquiring EHPL on a going concern basis. As the transferor company is a wholly owned subsidiary of the transferee company, no shares of the Transferee Company are allotted towards the discharge of consideration or in exchange for the equity shareholding in the Transferor Company. Upon the coming into effect of the Scheme, the shares of EHPL shall be deemed to be cancelled without any further action.

Operational and Legal Transfer​

Under the Scheme, the entire business and undertakings of EHPL, including all its assets and liabilities (whether movable or immovable, tangible or intangible), are transferred to GPL with effect from the Appointed Date (November 01, 2025).

All statutory licenses, permissions, approvals, and allocations issued by government authorities shall vest in and be enforceable by GPL. The transfer includes all claims and liabilities of EHPL, ensuring that the debts and contingent obligations of the Transferee Company are assumed with the same terms as were applicable to the Transferor Company from the Appointed Date.

Financially, the amalgamation will be accounted for using the "Pooling of Interest Method" as prescribed by Indian Accounting Standard (Ind AS) 103 'Business Combinations.' The companies have also undertaken that they will comply with all relevant accounting standards and statutory requirements regarding tax implications arising from the Scheme.
