Consequently, the Extraordinary General Meeting scheduled for June 25, 2026, has also been cancelled.
In a separate key decision, the Company declared an interim dividend of Rs. 0.50 per equity share of the face value of Rs. 10/- for the financial year ended March 31, 2026.
Dividend and Payment Details
The Board meeting confirmed that Friday, June 26, 2026, will serve as the record date for the payment of the interim dividend to members whose names appear in the register of Members and are recorded by NSDL and CDSL on that date. The Company stated that the dividend must be paid within 30 days from the date of declaration.The company requested shareholders to update their details for TDS (Tax Deducted at Source) with its Registrar and Transfer Agent (RTA) no later than June 26, 2026, to ensure proper determination of the applicable TDS rate.
Warrant Issuance Withdrawn
The Board initially approved a proposal concerning the issuance of warrants convertible into Equity Shares on a preferential basis. However, the Company subsequently resolved to withdraw this proposal. The withdrawal pertains to up to 1,99,000 Fully Convertible Equity Warrants, with each warrant carrying a face value of Rs. 10/- and priced at Rs. 344.34 per thousand Twenty Three Thousand Six Hundred Sixty Only.The cancellation ensures that the proposal will not be placed before the shareholders for consideration.
