Fractal Analytics Sets IPO Price Band at Rs 857–900, Targets Rs 2,834 Crore Issue

IPO to Open on February 9, Anchor Book on February 6​

Artificial intelligence solutions provider Fractal Analytics has fixed a price band of Rs 857 to Rs 900 per equity share for its upcoming initial public offering, valuing the company at nearly Rs 15,500 crore.

The Rs 2,834 crore public issue will open for subscription on February 9 and close on February 11. The anchor investor bidding is scheduled to take place on February 6. The company is set to make its stock market debut on February 16.

IPO Size Scaled Down From Earlier Plan​

Fractal has reduced the size of its IPO from the Rs 4,900 crore it had proposed earlier in its draft papers filed in August.

The revised issue comprises a fresh equity issue aggregating up to Rs 1,023.5 crore and an Offer for Sale of Rs 1,810.4 crore, taking the total issue size to Rs 2,833.9 crore.

Details of Offer for Sale​

Shares under the Offer for Sale will be sold by existing shareholders including Quinag Bidco Ltd, TPG Fett Holdings Pte Ltd, Satya Kumari Remala Rao, Venkateswara Remala, and GLM Family Trust.

Use of IPO Proceeds​

Proceeds from the fresh issue will be utilised for multiple strategic initiatives. These include investment in its subsidiary Fractal USA for prepayment or repayment of borrowings, purchase of laptops, and setting up new offices in India.

The company also plans to allocate funds towards research and development, sales and marketing activities under Fractal Alpha, acquisitions and other strategic initiatives, along with general corporate purposes.

Investor Allocation Structure​

As per the issue structure, 75 percent of the offer has been reserved for qualified institutional buyers, 15 percent for non institutional investors, and the remaining 10 percent for retail investors.

The company is backed by marquee investors including TPG, Apax, and Gaja. As of March 31, 2025, Fractal served several global corporations such as Microsoft, Apple, Nvidia, Alphabet, Amazon, Meta, and Tesla.

According to the company, it continues to invest actively in expanding its artificial intelligence and generative AI software portfolio along with research and development initiatives.

The IPO is being managed by Kotak Mahindra Capital Company, Morgan Stanley India Company, Axis Capital, and Goldman Sachs India Securities.
