Based on its listing status, the company falls under the ambit of Regulation 15(2)(B). This specific classification exempts the entity from several corporate governance requirements including those specified in regulations 17, 17A, 18, 19, 20, 21, 22, 24, 24A, 25, 26, and 27.
The exemption applies to listed entities that meet specific criteria, such as having a paid up equity share capital not exceeding rupees ten crore and a net worth not exceeding rupees twenty-five crore as of the last day of the previous financial year, or those listing specified securities on an SME Exchange.
As a result of this status, Enser Communications Limited is not required to submit the quarterly corporate governance compliance report for the period ending June 30, 2026.
The company has provided a formal undertaking stating that should any exempt regulations become applicable to the company in the future, it will ensure compliance within six months from the date the provisions become applicable.
