Dhunseri Ventures Approves FY 2026 Results, Dividend, and Corporate Guarantee for Subsidiary​

Dhunseri Ventures Limited, a listed company, announced the outcomes of its recent Board of Directors meeting on May 26, 2026. The Board approved the Annual Accounts and the Standalone and Consolidated Audited Financial Results for the financial year ended March 31, 2026.

The Board also recommended the declaration of a dividend on the company’s Equity Shares at ₹1.50 per share. Shareholders who hold the shares by the cut-off date of August 11, 2026, are eligible for the dividend, which is scheduled for payment on or after August 21, 2026. The company has set the period from August 12, 2026, to August 18, 2026, as the dates when the Register of Members and share transfer books will remain closed for the Annual General Meeting (AGM) and dividend payment.

AGM and Governance Appointments​

The Directors also approved convening the 110th Annual General Meeting (AGM) of the company on Tuesday, August 1, 2026, at 11:30 A.M.

In terms of corporate governance, the Board recommended the re-appointment of Mrs. Aruna Dhanuka as the Managing Director and Mr. Sameer Sah as an Independent Director. Both individuals are recommended for a second term of five consecutive years, effective from the ensuing AGM, subject to the approval of the shareholders. Furthermore, M/s Dhandhania & Associates, Chartered Accountants, were re-appointed as the Internal Auditor of the Company for the financial year 2026-27.

Corporate Guarantee for Subsidiary​

During the meeting, the Board of Directors also approved providing a Corporate Guarantee for the credit facilities to be availed by Dhunseri Poly Films Private Limited (DPFPL), a wholly owned subsidiary of the company.

The Corporate Guarantee is set to secure Rupee and Euro denominated term loans up to Euro 32mn and ₹118 crores (Rupees One Hundred Eighteen Crores only). The funds are designated for DPFPL to establish a Brownfield BOPET Line with a capacity of 59,200 TPA (Mixed Product Capacity of 52,561 TPA), along with a Metallizer unit with a capacity of 10,200 TPA, at Panagarh Industrial Park, West Bengal, from Export-Import Bank of India (EXIM Bank). The Board noted that the Corporate Guarantee would constitute a contingent liability in the company's books.

The company released comprehensive audited financial statements for the financial year ended March 31, 2026.

The consolidated financial results showed substantial total income of 45,413.65 lakhs for the year ended March 31, 2026, compared to 50,286.22 lakhs for the previous year. The total comprehensive income attributable to owners of the company was 12,491.25 lakhs.
