DCB Bank Limited has approved its 'Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information' following a Board meeting held on July 24, 2026. The code establishes a framework to ensure fair disclosure of events and occurrences that could impact price discovery in the market for the bank’s securities.

The objective of the Fair Disclosure Code is to provide a policy for handling unpublished price sensitive information (UPSI), preventing its misuse, and ensuring timely and adequate transparency for all stakeholders. The code mandates adherence to applicable laws and regulations concerning UPSI.

The CIRO is responsible for ensuring uniform dissemination of information, promptly disclosing UPSI to stock exchanges, overseeing employee compliance, and monitoring the sharing of UPSI with analysts and research personnel.

2. The sharing furthers a genuine corporate or business purpose, or enables the Bank to meet legal obligations, including regulatory directions and judicial orders.
3. All UPSI must be handled on a need-to-know basis.

Compliance Procedures:
The Code mandates that prior to any disclosure of UPSI, the recipient must be apprised via confidentiality agreements or written notices that:
  • The shared information is UPSI and the Bank is its exclusive owner.
  • The recipient must comply with PIT Regulations as an Insider.
  • The recipient must maintain absolute confidentiality regarding the UPSI.
  • The recipient will provide a written undertaking not to trade in the Bank's securities while possessing access to the UPSI.

Illustrative Examples of Legitimate Purpose:
The code provides several illustrative instances where sharing UPSI would be considered for a legitimate purpose, including:
  • Responding to requests from statutory or governmental authorities (e.g., Ministry of Corporate Affairs, SEBI, Reserve Bank of India).
  • Compliance with applicable laws and regulations, such as company law or securities law.
  • Assessing strategic alliances, mergers, amalgamation, or restructuring opportunities.

The Board of Directors is required to review and approve this Code at least annually or whenever regulatory changes occur.
