The Composite Scheme of Arrangement involving Gabriel India Limited, Anchemco India Private Limited, and Asia Investments Private Limited has become operative as of May 22, 2026.The arrangement was previously sanctioned by the Hon'ble National Company Law Tribunal, Mumbai Bench, via its Order dated May 11, 2026.
The Scheme encompassed Anchemco India Private Limited (formerly known as Andasia Private Limited) and Asia Investments Private Limited. Gabriel India Limited serves as the Resulting Company in this transaction.
Effective from May 22, 2026, the terms of the Scheme took effect, leading to two primary corporate changes.
Under Part C of the Scheme, the Transferor Company, Anchemco India Private Limited, amalgamated with the Transferee Company and was dissolved without being wound up.
Additionally, under Part D of the Scheme, the Demerged Undertaking of the Demerged Company, Asia Investments Private Limited, was transferred to and vested in Gabriel India Limited on a going concern basis, aligning with the terms and conditions laid out in the Scheme and the National Company Law Tribunal's order.
