
Companies Withdraw Proposed Demerger Scheme of Arrangement After Board Approval
On July 29, 2026, a group of companies associated with EFC (I) Limited unanimously approved the withdrawal of its proposed Scheme of Arrangement for the demerger of a material wholly owned subsidiary into and with step down subsidiaries.The decision was taken by the respective meetings held on this date involving EFC Limited, EFC Estate Marisoft 1 Private Limited, EFC Estate Marisoft 2 Private Limited, and EFC Estate Wakadewadi GF Private Limited. These entities were central to the proposed demerger that was planned for implementation via the Fast Track Merger route under Section 233 of the Companies Act, 2013.
The withdrawal of the scheme was decided upon after careful consideration of prevailing legal and regulatory framework, operational requirements, overall business considerations, and in the best interests of the companies.
Following the approval to withdraw the proposal, an application concerning the Scheme will be filed with the Regional Director, Mumbai.
