Clean Max Enviro Energy Solutions Approves Composite Scheme to Amalgamate Subsidiaries

Clean Max Enviro Energy Solutions Limited has approved a comprehensive scheme of amalgamation involving its four wholly owned subsidiaries. The consolidation aims to streamline the group's operations and achieve significant efficiencies across management, finance, and compliance monitoring.

The Board of Directors of Clean Max Enviro Energy Solutions Limited sanctioned the Scheme in a meeting held on July 31, 2026. This scheme involves the amalgamation of Clean Max Aditya Power Private Limited, Cleanmax IPP 1 Private Limited, CMES Power 1 Private Limited, and CMES Infinity Private Limited with the amalgamated company. The subsidiaries will be dissolved without winding up, leading to the cancellation of all their issued equity shares.

Since the Amalgamating Companies are wholly owned subsidiaries of the Company, no new shares shall be issued, nor will any cash or in-kind payment be made by Clean Max Enviro Energy Solutions Limited as consideration under this Scheme. The transaction is subject to necessary statutory and regulatory approvals, including sanction by the National Company Law Tribunal.

Operational Background and Business Scope

Each of the Amalgamating Companies are engaged in generation and sale of electricity through rooftop projects. The amalgamated company focuses on developing clean and green energy projects. Its operational scope includes managing, owning, controlling, erecting, and commissioning renewable energy projects. Clean Max also provides environmental and sustainability consulting services, including carbon credit trading and other related activities.

Rationale for Consolidation

The amalgamation is being implemented to simplify the holding structure of the group. The Amalgamated Company functions as the parent company overseeing multiple special purpose vehicles engaged in renewable power generation and sale. The consolidation intends to improve operational efficiencies across the business segments.

Key benefits resulting from the Scheme include:
  • Simplifying the holding structure and improving operational and management efficiencies.
  • Reducing administrative costs, overheads, and eliminating duplicated efforts in legal, secretarial, financial accounting, and audit functions.
  • Consolidating all existing and future rooftop projects into a single entity for better portfolio management and reduced risk.
  • Improving the overall credit profile of the group, which is expected to simplify security creation and potentially enable refinancing on improved terms.
