CDSL Announces 28th Annual General Meeting and Appoints Geetha Gangadharan as Non-Independent Director​

Central Depository Services (India) Limited (CDSL) has announced key outcomes of its Board meeting held on June 25, 2026, including the date for its upcoming Annual General Meeting (AGM) and the appointment of Smt. Geetha Gangadharan to its Governing Board.

The company confirmed that its Twenty-Eighth (28th) Annual General Meeting of Shareholders is scheduled to be held on Thursday, July 30, 2026. The meeting will be conducted through Video Conferencing (VC)/Other Audio Visual Means (OAVM). The Notice of the AGM and the Integrated Annual Report for the financial year 2025-26 will be distributed separately in due course.

Key Board Appointments and Changes​

The Governing Board of CDSL approved the appointment of Smt. Geetha Gangadharan as a Non-Independent Director on June 25, 2026. This appointment follows recommendations from the Nomination and Remuneration Committee.

Smt. Gangadharan joins the board to represent BSE Limited. She was nominated by BSE following a letter dated June 08, 2026, in place of Ms. Kamala Kantharaj.

The Board meeting also noted that Ms. Kamala Kantharaj, who is eligible to retire by rotation, has indicated that she will not be offering herself for re-appointment at the forthcoming AGM.

Profile of Smt. Geetha Gangadharan​

Smt. Gangadharan, appointed as Chief Regulatory Officer (Key Management Personnel) at BSE effective June 05, 2026, brings extensive experience in securities regulation, banking supervision, and policy advocacy. Her background includes leadership roles at the Reserve Bank of India (RBI) and the Securities and Exchange Board of India (SEBI).

Prior to her current role, she served for 15 years at SEBI, where she was designated as Chief General Manager and Head of Enforcement, leading functions related to enforcement, litigation, quasi judicial proceedings, and settlements. She holds degrees including LLM in Taxation from the University of Calicut and BA (Law) and LLB from Government Law College, University of Calicut. Smt. Gangadharan has also undertaken international regulatory programs at institutions such as Harvard Law School and the International Institute of Law (IIL), Washington DC, USA.

A review of the appointment details confirmed that Smt. Geetha Gangadharan is not related to any Director on the Governing Board of CDSL. Furthermore, she affirmed that she is not debarred from holding the office of a Director by virtue of any SEBI Order or any such other authority.
