BSE Limited Completes Merger of Subsidiaries, Streamlining Corporate Structure​

BSE Limited has successfully completed a merger involving its wholly owned subsidiaries, BSE Investments Limited and BSE Administration & Supervision Limited, with BSE Technologies Private Limited. The merger, undertaken to achieve a simple corporate structure and eliminate duplicate corporate procedures, became effective on April 23, 2026.

The Scheme of Merger was approved by the Regional Director - I, Western Region, MCA, vide order dated April 8, 2026. Following this approval, BSE Investments Limited and BSE Administration & Supervision Limited ceased to exist as separate entities with effect from April 23, 2026, and consequently ceased to be wholly owned subsidiaries of BSE Limited.

The three merging entities—BSE Investments Limited, BSE Administration & Supervision Limited, and BSE Technologies Private Limited—are all wholly owned subsidiaries of BSE Limited.

Business Operations and Rationale​

The merger consolidated operations across three distinct areas:
  • BSE Investments Limited was initially established to carry out the investment activities of BSE Limited.
  • BSE Administration & Supervision Limited was set up to administer and supervise Investment Advisors, although the entity does not currently conduct any business activity pursuant to the SEBI Circular dated May 2, 2024.
  • BSE Technologies Private Limited focuses on providing IT solutions specifically for commodities, Banking, and Financial Services in India.

The stated rationale for the merger among these sister concerns was to simplify the corporate structure and eliminate redundant corporate procedures.

The transaction involved BSE Technologies Private Limited issuing shares to BSE Limited, with no cash consideration being exchanged.

According to the details of the merger, the total number of shares issued to BSE Limited by BSE Technologies Private Limited was 27,74,38,600 equity shares of Re. 1/- each.
