Mumbai, January 15, 2026: Bennett Coleman & Company Limited has initiated an internal reorganisation aimed at sharpening strategic focus across its diversified businesses, with select entities, assets and undertakings proposed to be transferred to a newly incorporated group company, Times Horizon Private Limited.
The proposed restructuring involves the demerger of certain entities, businesses, undertakings, assets and liabilities, collectively referred to as the EIBME Business, from BCCL into Times Horizon on a going concern basis. The exercise also includes a series of interconnected steps designed to realign the group’s operating structure.
Strategic Rationale
The reorganisation is intended to enable BCCL to reorient its portfolio and provide sharper managerial and strategic focus to individual business verticals. By segregating the EIBME Business into a dedicated entity, the group aims to unlock value, improve operational efficiency, and better capitalise on growth opportunities across its media, digital and allied businesses.Business Profile
BCCL, along with its group entities, operates across a wide spectrum of segments including print and digital publishing, television broadcasting, radio, films and music, out-of-home advertising, events and conferences, brand capital, magazines, lifestyle and entertainment ventures, education and ed-tech, fintech, sports, gaming, and digital advertising. The group also maintains investments across multiple asset classes such as equity, debt and property.Times Horizon is a newly incorporated entity and does not currently carry out any operating activities. Following completion of the reorganisation, it will house the EIBME Business and related operations transferred from BCCL.
Market Context
Post-restructuring, BCCL and Times Horizon will continue to have exposure to overlapping segments such as digital content publishing, event management services and digital advertising, alongside certain vertical linkages within the broader media and advertising value chain. The group has indicated that the reorganisation is not expected to alter the competitive dynamics across these markets.About the Company:
