Balgopal Commercial Limited has finalized actions regarding its convertible warrants and made strategic changes to its corporate identity, including an amendment to its Memorandum of Association and a shift in official domain names.

The company's Board of Directors reviewed several matters during the meeting held on July 25, 2026. Among these decisions was the forfeiture of unexercised Convertible Warrants following their expiry.

Warrant Forfeiture Details

The initial allotment included a total of 45,00,000 Fully Convertible Warrants, which could be converted into one fully paid-up equity share each, with a face value of Rs. 10/- and an issue price (including all components) set at Rs. 60/- per warrant. These warrants were allotted on January 20, 2025, to the Promoter for preferential issuance.

The warrants granted a tenure of 18 months from the allotment date, expiring on July 19, 2026. Of the initial issue, 42,38,000 warrants were successfully converted into equity within this period. However, 2,62,000 warrants remained unexercised and lapsed after the prescribed period ended.

To facilitate this change, the Board approved a draft Postal Ballot Notice along with an Explanatory Statement, seeking member approval via a Special Resolution. Additionally, Mr. Nitesh Chaudhary, a Practising Company Secretary, was appointed as the Scrutinizer for conducting the Postal Ballot process through remote e-voting.
