Bajaj Healthcare Ltd has released its unaudited financial results for the quarter ended June 30, 2026. The company's Board of Directors considered and approved these results, alongside other corporate updates, including the continuation of a key director's tenure.

Financial Performance and Operations Update​

For the quarter ended June 30, 2026, Bajaj Healthcare reported total income of Rs 16,644.31 lakhs. Total expenses for the period stood at Rs 14,998.48 lakhs, resulting in a profit after tax from continuing operations of Rs 1,389.28 lakhs.

The Company made a significant accounting reversal during the quarter ended March 31, 2026, reversing income recognized previously amounting to Rs 3,324.66 lakhs. This reversal was due to ongoing regional instability in the Middle East affecting a Transfer of Technical Know-how arrangement with a customer.

Board Decisions and Director Tenure​

The Board of Directors approved the continuation of Mr. Gopalakrishnan Kesavan's directorship as a Non-Executive Independent Director. The decision was made upon attaining the age of 75 years, with the director scheduled to hold office until August 2030, subject to shareholder approval.

Mr. Gopalakrishnan Kesavan, who holds a B.Sc. in Biology and Chemistry and a Diploma in Management Studies from Mumbai University, has extensive experience in pharmaceutical sales and marketing. He is not related to any other Director of the Company.

Corporate Transactions and Capital Structure​

The company's capital structure underwent changes following a preferential issue conducted on September 19, 2024, which involved the allotment of equity shares and convertible warrants, raising an aggregate amount of Rs 15,225.90 lakhs. As a result of this conversion process, the issued, subscribed, and paid-up equity share capital increased from Rs 1,579.16 lakhs to Rs 1,683.13 lakhs.

During the quarter ended March 31, 2026, the company received the balance 75% of the warrant issue price, aggregating Rs 5,271.30 lakhs. Subsequently, all convertible warrants were converted into fully paid-up equity shares of face value Rs 5 each.

In corporate acquisitions, the Company acquired Genrx Pharmaceuticals Private Limited (in Liquidation) in April 2025 for a total consideration of Rs 1,085.00 lakhs. The status of this acquisition is pending necessary approvals from the National Company Law Tribunal (NCLT), and consequently, Genrx has not been consolidated as a subsidiary yet.
