Ashok Leyland Approves Strategic Investments in Optare and Hinduja Housing Finance Limited

Ashok Leyland Limited announced the approval of two significant investments following its Board meeting, involving its subsidiary Optare Plc. and a step-down entity, Hinduja Housing Finance Limited (HHFL). These investments are part of the company’s strategy to strengthen its business interests in vehicle manufacturing and finance sectors.

The Board approved an investment up to a sum not exceeding GBP 25 million (approximately ₹325 Crores) into Optare Plc. UK, which is described as a subsidiary of the company. This acquisition was aimed towards repayment of loan or other business requirements for the target entity. The current shareholding of Ashok Leyland in Optare Plc. stands at 93.28%, and post-allotment, this holding would increase to 93.49%.

Optare Plc., which operates in the manufacture and sale of buses and commercial vehicles, is also the holding company for the Electric Vehicle initiatives of Ashok Leyland, namely Switch Mobility Limited, U.K. and Switch Mobility Automotive Limited. In a second strategic move, the company approved an investment up to ₹500 Crore in the equity shares of Hinduja Housing Finance Limited (HHFL). This purchase is being made through a secondary sale from Hinduja Leyland Finance Limited (HLFL), a material subsidiary of Ashok Leyland.

HHFL is a step-down subsidiary and is wholly owned by HLFL, which itself is a material subsidiary of Ashok Leyland. HHFL operates in the non-banking financing services sector, specializing in providing loans for residential house purchase or construction. As one of India's leading affordable housing finance companies, it serves a focus on underserved segments across Tier II, Tier III and semi-urban markets.
