
ArisInfra Solutions Limited Approves Amalgamation of ArisUnitern RE Solutions Private Limited
Mumbai, March 18, 2026 – ArisInfra Solutions Limited (ARIS) announced today that its Committees and Board approved the amalgamation of ArisUnitern RE Solutions Private Limited, a subsidiary of ARIS, with the Company. The appointed date for the Scheme of Amalgamation is April 01, 2026.The amalgamation will become effective upon receipt of approvals from the National Company Law Tribunal (NCLT), and other regulatory and statutory authorities.
Background
ArisInfra Solutions Limited is a tech-enabled B2B company focused on simplifying the procurement of construction materials across India. ArisUnitern, a real estate service provider, is a subsidiary of ARIS in which it holds 73.75% shares.
ArisUnitern's Financial Performance
ArisUnitern has reported consistent growth, with revenues of INR 130 million, INR 248 million, and INR 432 million in FY23, FY24, and FY25, respectively. For the nine months ended December 2025, ArisUnitern reported revenue of INR 517 million and profit before tax of INR 329 million.
Benefits of the Amalgamation
The Board approved the transaction for several reasons including integration of operations, elimination of non-controlling interest, unlocking cross-selling and operational synergies, and strengthening ARIS’s position in the value chain.
