Apollo Hospitals Enterprise Limited has provided detailed information regarding its proposed composite scheme of arrangement, which involves Apollo Healthco Limited, Keimed Private Limited, and Apollo Healthtech Limited, aimed at unlocking strategic and financial potential through the separation of Apollo Healthtech.

The strategic rationale behind separating and independently listing Apollo Healthtech Limited has been presented to the market as a value-unlocking initiative. This move is intended to enable sharper strategic focus, enhanced operational agility, improved visibility into performance, and greater flexibility in capital allocation for the specialized healthcare platform. The scheme represents a unified commercial transaction designed to ensure long-term value creation for all stakeholders.

Governance Framework and Leadership Appointments​

The proposed governance structure of Apollo Healthtech Limited is an integral part of the composite scheme. According to the articles, half of the Board of Directors must consist of independent directors, totaling six members. The grant of board nomination rights to investors, along with the promoter and the promoter group, was highlighted as a market practice that preserves continuity and confidence in the company’s long-term strategy.

In commitment to high standards of corporate governance, a fall away threshold has been introduced for director nomination rights. Rasmeli Limited, alongside the promoter and promoter group, is committed to waiving their respective right to nominate directors if their shareholding falls below 10%. This condition will be formally included in the Articles of Apollo Healthtech after the scheme takes effect.

Ms. Shobana Kamineni has been proposed for the role of Executive Chairperson of Apollo Healthtech Limited upon the sanctioning and effectiveness of the Scheme by the relevant authorities. Ms. Kamineni is also tasked with identifying the employees who will be the beneficiaries of the Upside Agreement, in consultation with the Board of Apollo Healthtech.

Structure of the Upside Agreement​

The Upside Agreement, which forms part of the overall commercial transaction, is structured as an investor funded mechanism by Rasmeli and carries no cash outflow for Apollo Healthtech or any other shareholders. The agreement links incentives to ambitious performance targets, measured by the Multiple of Invested Capital (MOIC).

Under this structure, a maximum of 9% of the upside delivered to Rasmeli is contingent upon achieving at least 4x MOIC. The value creation incentivized through this agreement would benefit all shareholders without imposing any financial burden on the Company.

The scheme and its associated governance mechanisms are designed to balance entrepreneurial leadership with robust institutional governance, positioning Apollo Healthtech for its next phase of growth. The proposed structure ensures that the interests of all stakeholders remain paramount while maintaining a strong commitment to sustainable value creation.
