Amanaya Ventures Limited has approved the proposal for issuing secured, redeemable, unlisted, non-convertible debentures (NCDs) on a private placement basis. The Board of Directors considered and approved the terms and conditions for this issuance during a meeting held on July 24, 2026.

The company intends to raise up to INR 3,00,00,000 from the issue of NCDs. These debentures will have a face value of INR 1,00,000 each, and the total size of the proposed issuance is limited to three hundred such instruments.

The debentures are scheduled for a tentative allotment on or about September 30, 2026. The tenure of the instrument extends for twenty-four months from the Deemed Date of Allotment, with a Final Redemption Date tentatively set for September 30, 2028. An Issuer Call Option is exercisable at the end of Month 18 from the Deemed Date of Allotment, estimated around March 30, 2028.

Amanaya Ventures Limited has secured the instrument by creating a first-ranking exclusive and continuing charge through hypothecation. The security cover relates to the company's bullion inventory, known as 'Hypothecated Assets,' with a minimum Security Cover of 1.25x of Multi Commodity Exchange (MCX) closing prices prior to the Deemed Date of Allotment.

  • Coupon/Interest: The NCDs offer a fixed interest rate of 12.00% per annum, which is payable on a quarterly basis.
  • Redemption: The debentures will be redeemed in accordance with the Debenture Trust Deed (DTD) out of the internal accruals of the Company.
  • Default Provision: If a Payment Default or Event of Default occurs, the Company will pay additional interest at 2% per annum over the Interest Rate on the outstanding principal amount until the default is cured.
