Aegeus Technologies Ltd Approves 9th AGM and Regularizes Appointment of Independent Director Anil Kapoor​

Aegeus Technologies Ltd, previously known as Aegeus Technologies Private Limited, announced the outcomes of its Board meeting held on August 27, 2026. The board meeting addressed several key operational and governance matters, including the scheduling of the 9th Annual General Meeting (AGM) and the regularization of an independent director appointment.

The company approved the convening of its 9th Annual General Meeting (AGM) on Wednesday, September 30, 2026, at 12:00 Noon (IST). The meeting will be conducted via Video Conferencing (VC) or Other Audio-Visual Means (OAVM). The draft Notice of the 9th AGM and the Board’s Report for the financial year ending March 31, 2026, were reviewed and approved by the directors.

Independent Director Appointment and Tenure​

A central outcome of the meeting was the approval for the regularization and appointment of Mr. Anil Kapoor as a Non-Executive Independent Director. Mr. Kapoor, who had been appointed as an Additional Director, will serve a term of five consecutive years. This appointment runs from July 23, 2026, up to July 22, 2031, subject to the approval of the Members at the ensuing 9th AGM.

E-Voting and AGM Schedule​

The board fixed the necessary dates to facilitate the upcoming AGM and the electronic voting process. The Cut-off Date for determining the eligibility of members entitled to vote electronically was set for Wednesday, September 23, 2026. The BENPOS Date for the electronic dispatch of the Notice and Annual Report was set for Friday, August 28, 2026.

The remote e-voting schedule, facilitated by Central Depository Services (India) Limited (CDSL), was also approved:


CS Pawan Singh Bisht (C.P. No. 28907), a Practicing Company Secretary, was approved to oversee the remote e-voting and the e-voting process during the 9th AGM.

Mr. Kapoor possesses over 43 years of professional experience. His professional journey includes service in the Indian Army from 1981 to 2020, retiring as Lieutenant General.

• Amity Institute of Defence Technology, Amity University: Served as Senior Vice President Education Foundation and Director General from 2021 to 2022.
• Asset Management Society India (AMSI): Has served as Vice President and Chairman since 2021.
• Indian Institute of Technology (IIT), Tirupati: Has been associated with the institute since 2022 as a Professor of Practice and Board Member of the Technology Innovation Hub.
• Consultancy: Has served as a Strategic Advisor (Technology) to various think tanks and venture capital initiatives since 2023.

The disclosures confirmed that Mr. Anil Kapoor is not related to any of the existing Directors of the Company and is not debarred from the office of a Director by virtue of any statutory authority.
