ADF Foods Limited Receives Approval for Amalgamation Scheme
ADF Foods Limited announced that the Regional Director (RD) - North Western Region, Ministry of Corporate Affairs, Ahmedabad, has approved the Scheme of Amalgamation between ADF Foods (India) Limited and Telluric Foods Limited, both subsidiaries of ADF Foods Limited, and their respective shareholders and creditors. The approval, received on April 2, 2026, was granted under Section 233 of the Companies Act, 2013.The merger will take effect from an appointed date, upon filing of the Order with the Registrar of Companies. ADF Foods (India) Limited will stand dissolved upon completion of the scheme.
According to details disclosed, Telluric Foods Limited reported a turnover of Rs. 5.66 crore as of March 31, 2025. The amalgamation is intended to simplify the corporate structure, enable more efficient utilization of capital and resources, integrate business operations, eliminate duplication and rationalize administrative and compliance costs. No shares will be issued under the scheme, and the transferor company is a wholly-owned subsidiary of the transferee company.
