3i Infotech Limited is undertaking comprehensive reviews of its potential new Board members ahead of the upcoming Annual General Meeting (AGM), with the company's management addressing concerns regarding board size and composition.

The Board meeting held on August 12, 2026, considered several notices received from members proposing candidatures for appointment as Non-Executive Directors (NEDs) at the forthcoming AGM. The company received a total of 12 proposed candidatures for NED positions.

One key consideration identified by the Board is the maximum permissible strength of its directors, which stands at 15 under existing provisions. If all 12 proposed candidates were elected, the company's total board strength would exceed this limit. This scenario would necessitate a special resolution from shareholders to increase the maximum number of Directors and subsequently amend the Articles of Association (AoA).

NRC Mandate Focuses on Candidate Quality and Board Size​

To ensure a thorough evaluation of all proposed candidatures in the best interest of the company's members, the Board resolved that all candidates for Non-executive Non-Independent Directors must be assessed by the Nomination and Remuneration Committee (NRC). This assessment will cover legal compliance and adherence to the "Fit and Proper" criteria as per the company’s internal policies.

The NRC has been tasked with examining the appointment of Independent Directors (IDs) to ensure that the Board's composition remains compliant with all relevant regulations, especially considering the possibility of up to 12 proposed NED candidates being considered.

The Board also expressed concerns regarding the overall size of the Board and the administrative, logistical, and cost implications associated with managing such a large body, particularly given the scale and nature of the company's business operations. Consequently, the NRC has been requested by the Board to evaluate the optimal size for the organization’s Board.

Special Notice and Shareholder Approval Process Determined​

The Board reviewed the special notice received regarding Mr. Umesh Mehta (DIN: 09244647), who is a Non-Independent Non-executive Director liable to retire by rotation, concerning his removal. The Board approved including this matter as an additional special business item at the AGM.

Given the time required for the NRC to complete its comprehensive evaluation and submit a report, the company determined that these matters cannot be addressed at the ensuing AGM. Therefore, shareholder approval for these candidatures will be sought either through a postal ballot process or an Extraordinary General Meeting (EGM), as deemed appropriate.

The Board meeting commenced on August 12, 2026, and concluded after reviewing all agenda items.
