ESOP Allotment and Capital Update​

The Board approved the allotment of 27,530 Equity Shares to eligible employees who exercised their vested options under the Wanbury ESOP 2016. These shares were allotted on August 11, 2026. The shares are issued with a face value of ₹10 each and the exercise price was set at ₹10 per option.

This allotment is set to increase the company's paid-up share capital from the previous amount of Rupees Thirty Four Crore Ninety Three Lakhs Ninety Three Thousand into Rs. 34,96,69,280, comprising 3,49,39,398 fully paid up Equity Shares of face value ₹10 each.

Director Appointment and Profile​

Mr. Mohan Kumar Rayana (DIN - 07878975) was re-appointed as a Whole-time Director for a term of five years, effective August 21, 2026, subject to shareholder approval.

Mr. Rayana has been associated with Wanbury Limited since its inception in 1988 and possesses over two decades of experience in corporate leadership and governance. His background includes a degree in Pharmacy from the University of Mumbai, and he served for more than 25 years in an advisory capacity at Wanbury. He brings extensive experience in business strategy, general management, acquisitions, mergers, fundraising, and debt settlement. Mr. Rayana is not related to any other directors of the company.

Operational and Financial Activities​

The company reported that it availed aggregate borrowings of Rs. 205 crores from non-banking financial companies (NBFCs) during the quarter for the purpose of repaying existing high-cost borrowings, capital expenditure, and general corporate purposes. Concurrently, 85,20,330 equity shares pledged by promoters to existing lenders were released on July 7, 2026.

In terms of international regulatory milestones, Wanbury Limited's two USFDA approved manufacturing facilities in Tanuku (Andhra Pradesh) and Patalganga (Maharashtra) successfully cleared inspections from the Therapeutic Goods Administration (TGA), Australia, and MFDS-Korea, respectively, with zero observations recorded.
