Dividend Recommendation and Demerger Proposal​

Dividend Recommendation
The Board of Directors recommended a Final Dividend of Rs. 1/- (Rupees One only) per equity share. This recommendation is based on the company's equity share of INR Rs. 10 per share and is subject to the approval of the Shareholders at the Annual General Meeting.

Demerger Plan
The Board also approved the proposal for the demerger of one of the company's undertakings. To facilitate this, the Board approved the incorporation of a wholly owned subsidiary company, pending necessary regulatory approvals. The detailed scheme for the demerger will be finalized and submitted to the exchange in due course.

Fund Utilization and Capital Structure​

The Board of Directors noted the statement of utilization of proceeds received from the Preferential Allotment for the quarter ended March 31, 2026.

The utilization statement, audited by Madhu Balan & Associates, confirmed the use of funds generated from:
