Verventa Holdings Ltd Creates Pledge Over Yes Bank Shares Under Facility Agreement​

Verventa Holdings Ltd (VHL) has created a security pledge over its shares in Yes Bank Limited following the execution of a Facility Agreement. Axis Trustee Services Limited acted as the onshore security agent for the lenders in connection with the transaction.

The pledge was created by VHL over its holding in Yes Bank Limited, which represents 8.49% of the issued and paid-up share capital and 8.39% of the total diluted share/voting capital of the bank. The security was established with effect from May 11, 2026.

The arrangement was formalized through a Facility Agreement entered into between VHL and various parties on April 15, 2026.

Shareholding Details​

The transaction involves VHL holding 2,664,580,360 shares in Yes Bank Limited. The total diluted share capital of the Target Company (Yes Bank Limited) after the encumbrance is 31,761,663,732 equity shares of INR 2/- each.

Supplementary Security​

In addition to the pledge created by VHL, security was also established on the shares of VHL by Verventa Midco Limited (VML). This separate security was created pursuant to a share pledge agreement dated April 15, 2026, and is for the benefit of the lenders.

Axis Trustee Services Limited confirmed that, as of the date of the disclosure, it does not hold any beneficial interest in the shares, confirming its capacity only as the onshore security agent for the lenders.

YESBANK Stock Price Movement​

On Wednesday, Yes Bank Limited shares edged higher to close at ₹22.11, achieving a 0.27% gain for the session. The stock settled near its day's high of ₹22.55, supported by robust trading volume of 112.43 million shares.
