Mumbai, March 25, 2026 – V.B. Desai Financial Services Limited, a Category I Merchant Banker, announced that it received an Administrative Warning Letter from the Securities and Exchange Board of India (SEBI) on March 24, 2026. The letter stems from an inspection of the company's books and records conducted between January 23, 2025, and January 24, 2025, covering the period from April 1, 2022, to November 30, 2024.

The inspection revealed discrepancies, including a failure to promptly report changes in Key Management Personnel (KMPs) to SEBI, a failure to maintain a Structured Digital Database (SDD) from April 1, 2022, to February 27, 2023, and deficiencies in infrastructure and arm's length relationship between merchant banking activities and other business operations.

The violations relate to several SEBI regulations, including Regulation 9A(1)(e) and (f) of the SEBI (Merchant Bankers) Regulations 1992, Regulations 3(5) and 9A of the SEBI (Prohibition of Insider Trading) Regulations, 2015, and Regulation 6(aa) of MB Regulations.

SEBI has cautioned V.B. Desai Financial Services Limited to improve its compliance standards and avoid future recurrence of these issues. The company has been advised to present the warning letter to its Board of Directors. The company stated that these matters will not impact its financial, operational or other activities.
