The bank authorized the repurchase via redemption, at par, of 1,950 Rated, Listed, Unsecured, Redeemable, Lower Tier II Bonds (Non-Convertible Debentures). The aggregate value related to this debenture exercise is up to ₹ 195 crores.
In conjunction with the call option, the Bank also approved the execution of a supplementary debenture trust deed. This supplementary deed relates to the original Debenture Trust Deed dated June 26, 2020, which was entered into between Utkarsh Small Finance Bank Ltd and IDBI Trusteeship Services Limited, acting as the debenture trustee.
The determination of the call option timeline requires specific adherence to regulatory notice requirements. A formal notice regarding the Call Option will be issued in due course to the debenture holders and Debenture Trustee. This notice will also be provided to all stock exchanges where the Non-Convertible Debentures are listed, in accordance with applicable laws.
Utkarsh Small Finance Bank Ltd has established July 29, 2026, as the record date for the Call Option. The option itself is scheduled for exercise on August 13, 2026.
