Unimech Aerospace Signs Definitive Agreements to Acquire Hobel Bellows for Capability Boost

Unimech Aerospace and Manufacturing Limited has announced that it has signed definitive agreements to acquire Hobel Bellows, a specialized Indian manufacturer. The acquisition is set to accelerate Unimech's capabilities and deepen the company's relevance across high-value industrial sectors, marking a move toward building a globally competitive, capability-led precision engineering platform.

The proposed acquisition is noted for reflecting Unimech's focus on disciplined capital allocation and expanding its portfolio beyond core precision components into higher-value engineered assemblies and sub-systems.

Profile of Hobel Bellows

Hobel Bellows specializes in the manufacture of metallic bellows, expansion joints, flexible tubing components, sheet metal fabrications, and precision-engineered assemblies. Its product line serves diverse sectors including automotive, locomotive, power transmission, and water and gas applications.

The company operates from an approximately 180,000 sq. ft. manufacturing facility at Duvvada SEZ, Visakhapatnam, and maintains quality certifications under ISO 9001:2015 and IATF 16949:2016. Hobel Bellows has successfully cultivated a strong, export-oriented Original Equipment Manufacturer (OEM) business, with close to 90% of its business serving international markets such as the UK, USA, Singapore, and China.

Financially, for the year ended March 31, 2026, the company reported provisional revenues of ₹ 123.7 crore, supported by a strong, margin-accretive profitability profile and consistent cash generation.

Strategic Synergy and Capability Enhancement

The acquisition is strategically positioned to complement Unimech's existing operations by integrating several specialized capabilities. Hobel Bellows brings expertise in:

  • Metal Forming Technologies: Including hydroforming, elastomer forming, and segment forming.
  • Advanced Welding: Techniques such as TIG, seam, and robotic welding.
  • Fabrication: Precision pipe bending and fabrication.
  • Advanced Quality Testing: Capabilities including Carl Zeiss CMM-based dimensional inspection, helium leak detection, automated vision based inspection systems, and automated underwater leak testing systems.

These combined capabilities enhance Unimech’s capacity to deliver integrated engineered assemblies and sub-systems across various sectors, allowing the company to advance beyond precision-machined parts.

Strengthening Market Presence

The merger provides a strong strategic fit by enhancing Unimech’s sector presence and global reach. It enables Unimech to deepen engagement in existing aerospace, defense, energy, semiconductor, and medical equipment opportunities while adding meaningful capabilities in locomotive, industrial, and power-related applications.

Furthermore, the deal is expected to boost Unimech's financial standing by integrating a high-margin, margin-accretive, and cash-generative business model, complementing Unimech’s current capital allocation philosophy.

Management View

Anil Puthan, Chairman & Managing Director of Unimech Aerospace and Manufacturing Limited, commented on the agreement, stating that the acquisition is a significant milestone that serves as a crucial capability enhancement. He noted that Hobel Bellows brings specialized expertise in bellows, tubing, forming, welding, and engineered assemblies, alongside a robust export-oriented base. Puthan added that the deal is a disciplined capital allocation decision designed to strengthen the overall platform, supporting long-term value creation for stakeholders.

With this acquisition, Unimech aims to build a scalable, export-oriented, and capability-led engineering platform, establishing itself as a comprehensive partner for complex, high-performance engineering solutions in high-entry-barrier industries.
