Transindia Real Estate Limited Acquires 100% Stake in Three Companies to Boost Logistics and Real Estate Presence​

Transindia Real Estate Limited announced its acquisition of 100% equity share capital in three entities: Dighanta Landscape Private Limited, Panchghara Landscape Private Limited, and Panchghara Logistics Parks Private Limited. These acquisitions are set to consolidate the company’s business operations and enhance its market presence within the real estate and logistics sectors.

Following the execution of Share Purchase Agreements (SPAs), Panchghara Landscape Private Limited became a wholly owned subsidiary of Transindia Real Estate Limited with effect from April 28, 2026. The remaining target companies are expected to become wholly owned subsidiaries upon the successful completion of the share transfer process.

The objective of the acquisition is to consolidate business operations, achieving significant operational synergies. The move is expected to enable the combined entity to undertake larger and more diversified business projects, enhance revenue generation, and improve overall profitability through better utilization of financial resources.

The overall deal involves the acquisition of 100% equity shares of the target entities, along with their underlying assets, including land. The total cost of the acquisition is approximately ₹84,00,00,000 (Rupees Eighty-Four Crores only). The consideration for the acquisition is structured as cash consideration.

The target companies are actively involved in the development of assets, including the aggregation of approximately 44 acres of land located in Village Dankuni, Kolkata, West Bengal. Due to limitations in land aggregation, the target companies have secured approximately 86% of the originally proposed land parcel.

Transindia Real Estate Limited has stated that the group is engaged in construction, investment, and real estate activities, including the purchase and trading of land and properties. Panchghara Landscape Private Limited’s core business involves developing and managing industrial and warehousing spaces and logistics parks.
