Tembo Global Industries Limited has approved a major capital raising initiative through the issue and allotment of warrants on a preferential basis. The Board of Directors held a meeting on August 7, 2026, during which this financing structure was considered and sanctioned.

The company's decision involves raising funds by issuing up to 2,00,00,000 warrants (Two Crores). Each warrant is convertible into one Equity Share of the Face Value of Re. 1/- (Rupee One Only) to selected Promoters and Non-Promoter Investors.

The Issue Price set for these warrants is Rs. 57/- (Rupees Fifty-Seven Only), which includes a premium of Rs. 56/-, providing an aggregate raising capacity of up to Rs. 1,14,00,00,000/- (One Hundred Fourteen Crores Only).

Corporate Governance and Future Plans​

In addition to the capital infusion plan, the Board of Directors made several key decisions regarding corporate governance and future shareholder actions. The company is planning an Extra Ordinary General Meeting (EGM) on Friday, September 4, 2026, which will be held through VC/OAVM to secure necessary member approvals for the preferential issues.

The Company established August 28, 2026 as the "Cut-off Date" for determining the eligibility of members entitled to vote by remote e-voting.

Furthermore, Ms. Amita Karia, a Practicing Company Secretary (FCS: 11066), was appointed by the Board of Directors to serve as the Scrutinizer to ensure that the e-voting process conducted for the EGM is fair and transparent.
