Swojas Foods Ltd has finalized the conversion of a portion of its previously allotted Convertible Warrants into fully paid-up equity shares, resulting in an increase in the company's paid-up share capital. The Board of Directors approved the allotment following the exercise of conversion options by certain non-promoter warrant holders.

The conversion pertains to warrants initially issued as part of a larger tranche totaling 2,59,84,500 Convertible Warrants, which had been granted with a face value of ₹10 and an issue price of ₹16.50. The initial subscription for these warrants required investors to pay 25% of the issue price.

The Board Meeting held on July 22, 2026, approved the conversion of 16,16,162 warrants into an equal number of equity shares. These shares were allotted for cash upon the receipt of the remaining exercise amount, which stood at ₹12.375 per share, equating to three-quarters (75%) of the warrant issue price.

The allotment transaction generated a cash inflow of ₹2,00,00,004.75. The newly allotted equity shares will rank pari-passu with the existing equity capital of the company.

Capital Structure Update​

Following this conversion event, Swojas Foods reported an increase in its paid-up equity share capital. Previously, the company had 4,26,47,150 equity shares, resulting in a paid-up capital of ₹42,64,71,500. Post-conversion, the total number of equity shares increased to 4,42,63,312, and the corresponding paid-up capital rose to ₹44,26,33,120.

The company has stated that applications for listing and trading approval of these newly issued and allotted Equity Shares will be processed in due course of time.
