The Board of Directors of Stellant Securities (India) Ltd, at a meeting held on July 24, 2026, approved several key corporate actions, including an increase in authorized share capital and the issuance of warrants to Promoters and various equity shares to non-promoters under the public category.

The Board Meeting also appointed Vineeta Piyush Patel (Mem No. A37699, COP No. 19111), a Practising Company Secretary, to act as Scrutinizer for the e-voting process.

Subject to shareholder approval, the Board reviewed and approved the following major capital structure changes and offerings:

Authorized Share Capital Enhancement:
The authorized share capital of the company was increased from Rs. 7,00,00,000 (Rupees Seven Crore only), divided into 70,00,000 Equity shares of Rs. 10/- each, to Rs. 17,00,00,000 (Rupees Seventeen Crores only). This new capital will be divided into 1,70,00,000 Equity shares of Rs. 10/- each, requiring an amendment to Capital Clause V of the Memorandum of Association.

Preferential Warrant Issuance:
The Board approved the issuance of 3,48,837 warrants convertible into equity shares. These warrants carry a face value of Rs. 10/- and were set at an issue price of Rs. 602/-, including a premium of Rs. 592/- per Convertible Warrant. The total aggregate amount for this issuance is Rs. 21,00,00,000 (Rupees Twenty-One Crores only). This preferential issue is designated for the Promoter and their relative.

Public Equity Share Issue:
The Board also approved the allotment of 12,99,143 Equity Shares to Non-Promoters under the Public category. These shares were offered at an issue price of Rs. 602/-, including a premium of Rs. 592/- per share, aggregating to Rs. 78,20,84,086 (Rupees Seventy-Eight Crores Twenty Lakhs Eighty Four Thousand Eighty Six only).

Regarding the convertible warrants, it was noted that Proposed Allottees have a maximum period of 18 months from the date of allotment to convert the warrant into fully paid-up equity shares. The terms stipulate that at least 25% of the warrant issue price must be payable upfront, with the balance 75% due upon exercising the option of conversion.
