Simplex Infrastructures Ltd. Schedules EGM and Re-Appoints Directors
Simplex Infrastructures Ltd. announced that its Extra-Ordinary General Meeting (EGM) is scheduled for Wednesday, April 22, 2026, at 3:00 p.m. (IST) via video conferencing and other audio-visual means. The meeting will address the re-appointment of Pratap Kumar Chakravarty and Indira Biswas as Independent Directors.The company has fixed Wednesday, April 15, 2026, as the cut-off date for determining member eligibility to vote on resolutions. Remote e-voting will be available from Saturday, April 18, 2026, at 9:00 A.M. to Tuesday, April 21, 2026, at 5:00 P.M.
Director Re-Appointments
Pratap Kumar Chakravarty, currently an Independent Director, is eligible for re-appointment for a second term of five years, commencing February 13, 2026, and ending February 12, 2031. Mrs. Indira Biswas, also an Independent Director, is similarly eligible for re-appointment.
The Nomination and Remuneration Committee and the Board of Directors have recommended both re-appointments, citing their skills, expertise, and contributions to the company. Mr. Chakravarty will attain the age of 75 on May 4, 2029, during his second term, requiring member approval for his continued tenure.
